Terms and Conditions

Welcome to Grand Rapids Local ("the App"). By accessing, downloading, or using this App, you acknowledge and agree to be legally bound by these Terms and Conditions ("T&C"). These T&C govern your interaction with the App, its content, and all associated services, including but not limited to browsing, purchasing tickets, and engaging with third-party offerings. If you do not agree to these T&C in full, you must refrain from downloading, accessing, or using the App. Your continued use of the App signifies your acceptance of these terms.

Eligibility

To use the Grand Rapids Local App, you must be at least 12 years of age. By downloading the App, you represent and warrant that you meet this age requirement and have the legal capacity to agree to and be bound by these T&C. If you are under 12 years of age, you are strictly prohibited from accessing or using the App. If it is discovered that you have misrepresented your age, you acknowledge that Grand Rapids Local is not liable for any consequences or damages arising from your unauthorized use of the App.

Data Collection and Use

Grand Rapids Local collects, processes, and may use or sell data from its users, including but not limited to personal information, location data, device-specific information, and any content uploaded to the App, such as images or text. By using the App, you consent to this collection, use, and potential sale of your data. Your data may be used for various purposes, including but not limited to personalized marketing, analytics, improving App functionality, and research. You agree that Grand Rapids Local is not required to notify you of any specific use of your data. You also acknowledge and agree that the App may use cookies or similar tracking technologies to enhance user experience, and that these technologies may also be used to collect data about your interactions with the App.

Content Submission and Intellectual Property

By uploading or submitting any content through the App, including but not limited to photos, reviews, or comments, you grant Grand Rapids Local a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display such content for any purpose, including commercial use. You affirm that you own the rights to any content you submit and that such content does not infringe on the rights of any third party. You acknowledge that Grand Rapids Local may, at its sole discretion, choose to display or remove any content you submit and that you will not be compensated for any use of your content by the App. Additionally, you agree that any photos or media you take using the App, or any media uploaded through the App, may be used by Grand Rapids Local for promotional purposes, without any compensation to you.

No Liability for Third-Party Content or Transactions

Grand Rapids Local is not responsible for the accuracy, completeness, or usefulness of any information, content, or services provided by third-party partners, advertisers, or affiliates. This includes but is not limited to tickets for events, products, or services purchased through links provided in the App. All transactions conducted through the App are handled by third-party entities, and Grand Rapids Local assumes no liability for any issues, disputes, or damages arising from such transactions. You agree that any purchases, transactions, or engagements with third-party services or content are solely at your own risk. Grand Rapids Local does not endorse any third-party products or services, and the inclusion of such links or advertisements within the App does not imply any association or endorsement.

No Liability for Errors or Omissions

Grand Rapids Local provides all information and content on the App for entertainment and general informational purposes only. We do not guarantee the accuracy, completeness, or reliability of any content or services provided through the App. You agree that any reliance on the content, information, or services provided by the App is at your own risk. Grand Rapids Local is not liable for any errors, omissions, or inaccuracies in the content or services provided. All content on the App, including event information, restaurant listings, and special offers, is provided "as is" and without warranties of any kind, either express or implied.

Promotional Content and Marketing

By using the App, you acknowledge and agree that Grand Rapids Local may use, display, or promote any content you submit, including business-related content, in a positive or negative light. This includes but is not limited to displaying your business, event, or personal content in any marketing or promotional materials, both within the App and in external advertising. You agree that Grand Rapids Local is not liable for any damages, perceived or actual, that may result from the use of your content in promotional materials. Furthermore, by downloading and using the App, you agree that Grand Rapids Local may send you notifications or marketing communications regarding events, new businesses, restaurants, bars, and other relevant content. You may opt out of these communications, but doing so may limit your access to certain features of the App.

No Endorsement of Underage Drinking or Illegal Activities

Grand Rapids Local does not endorse or promote underage drinking, illegal activities, or any content that may be considered inappropriate or harmful. Any references to alcoholic beverages, bars, or similar venues are intended for users of legal drinking age in their respective jurisdictions. You agree that you are solely responsible for complying with all local, state, and federal laws regarding age restrictions and legal activities. Grand Rapids Local is not liable for any actions taken by users that may violate these laws, and you agree to hold Grand Rapids Local harmless for any consequences arising from such actions.

Limitation of Liability and Indemnification

To the fullest extent permitted by law, Grand Rapids Local, its affiliates, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App or any content, services, or transactions provided through the App. This includes, but is not limited to, damages for loss of profits, data, use, goodwill, or other intangible losses, even if Grand Rapids Local has been advised of the possibility of such damages. By downloading and using the App, you agree to indemnify, defend, and hold harmless Grand Rapids Local and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the App, your violation of these T&C, or your violation of any rights of another.

Jurisdiction and Governing Law

These T&C shall be governed by and construed in accordance with the laws of the jurisdiction in which Grand Rapids Local operates, without regard to its conflict of law principles. Any disputes arising out of or relating to these T&C or your use of the App shall be resolved exclusively in the state or federal courts located in the jurisdiction in which Grand Rapids Local is headquartered. You agree to submit to the personal jurisdiction of such courts and waive any objections to the jurisdiction or venue of such courts.

Modification of Terms

Grand Rapids Local reserves the right, at its sole discretion, to modify or replace these T&C at any time. Any changes to the T&C will be effective immediately upon posting the revised version on the App. Your continued use of the App following the posting of any changes constitutes your acceptance of the revised T&C. It is your responsibility to review these T&C periodically to stay informed of any updates or changes. If you do not agree with any modifications to these T&C, you must immediately discontinue your use of the App.

Termination

Grand Rapids Local reserves the right to terminate or suspend your access to the App at any time, with or without cause, and without prior notice. Upon termination, all provisions of these T&C that by their nature should survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability, shall survive.

Miscellaneous

These T&C constitute the entire agreement between you and Grand Rapids Local regarding your use of the App and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein. If any provision of these T&C is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. No waiver of any term or condition of these T&C shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
